Capital Markets Law

Capital markets allow companies to access direct financing through public offerings and debt issuances, and investors to invest in these instruments. In Turkey, this field is governed by the Capital Markets Law No. 6362 and the communiqués of the Capital Markets Board (CMB); transactions are carried out through Borsa Istanbul and the Public Disclosure Platform (KAP).

Listed companies are subject to ongoing obligations relating to material event disclosures, financial reporting, corporate governance principles and related party transactions. Since breaches may result in administrative fines and liability for managers, internal processes must be designed in line with the legislation.

In public offerings and debt issuances, the preparation of the prospectus and issuance documents, CMB approval processes and agreements with intermediary institutions form the basis of the transaction. Tender offers, squeeze-out and sell-out rights, and real estate investment trusts and funds also fall within this practice.
