Banking and finance transactions are multi-party structures involving not only lenders and borrowers but also security providers, investors and regulators. In Turkey, banking activities are subject to the Banking Law No. 5411 and the regulations of the Banking Regulation and Supervision Agency (BRSA). Security used in financing transactions is created under the Turkish Civil Code, the Law on Pledges of Movable Assets in Commercial Transactions No. 6750 and related legislation.
Corporate loans, project and acquisition finance and syndicated facilities require, in addition to the finance documents, a properly structured security package and complete registration formalities. In trade finance instruments such as letters of credit and bank guarantees, international rules such as UCP 600 and URDG 758 are decisive alongside the contractual terms.
Restructuring of loans in times of financial difficulty, enforcement of security and the ranking of creditors also fall within this practice. Disputes between financial institutions and their customers may be resolved before the courts, consumer arbitration committees or in arbitration.
Our firm advises lenders, borrowers and security providers on the structuring, documentation and implementation of financing transactions, and represents clients in banking and finance disputes.
